These Terms of Service (“Terms”) govern your access to and use of the website at https://novats.net (the “Site”) and any related content, tools, or communications provided by Novatech Systems LLC (“Novatech,” “we,” “us,” or “our”). By accessing the Site or otherwise interacting with our communications channels, you agree to these Terms.
If you are engaging Novatech to receive managed information-technology services (“MSP services”), those services are governed by a separately signed Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict between these Terms and a signed MSA or SOW, the signed agreement controls for the services it covers.
1. Eligibility and Acceptance
You must be at least 18 years old and able to enter into a binding contract to use the Site. By using the Site you represent that you meet these requirements. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Novatech provides outsourced information-technology managed services to business clients. The Site is an informational and lead-generation channel. We may provide additional content on the Site such as articles, contact forms, and pricing summaries; these are provided for informational purposes only and do not create a binding offer absent a separate signed agreement.
3. Use of the Site
You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Site. In particular, you agree not to:
- Attempt to gain unauthorized access to the Site, our systems, or our clients’ systems.
- Probe, scan, or test the vulnerability of the Site or any related network.
- Interfere with service to any user, host, or network, including by means of overloading, flooding, mailbombing, or crashing.
- Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior written permission.
- Use the Site to transmit any unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.
4. Communications and SMS
Novatech operates a private SMS and voice notification program using the toll-free number +1 (877) 748-5309. That program is restricted to Novatech Systems LLC employees and contractors who have provided written consent through our onboarding documents. Members of the public are not enrolled and will not receive marketing or solicitation messages from that number. If you receive an unexpected message and believe it was sent in error, reply STOP or contact [email protected] and we will remove the number from our internal lists.
Standard message and data rates from your mobile carrier may apply to any SMS communications you choose to send to us. We do not charge for SMS communications.
5. Intellectual Property
The Site, including text, graphics, logos, and software, is owned by or licensed to Novatech and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes. You may not reproduce, distribute, modify, or create derivative works of any content on the Site without our prior written consent, except that you may print or download copies for your personal or internal business reference.
6. Third-Party Content and Links
The Site may contain links to third-party websites or resources. We provide those links as a convenience and do not endorse and are not responsible for the content, products, or services available on those sites.
7. Disclaimers
The Site and any content on it are provided “as is” and “as available” without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Any reliance on Site content is at your own risk.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will Novatech Systems LLC, its members, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your access to or use of the Site. Our aggregate liability for any claim arising out of or relating to the Site is limited to one hundred U.S. dollars (US$100). This limitation does not apply to liability that cannot be excluded or limited under applicable law, and it does not affect the separate liability provisions of any signed MSA or SOW between you and us.
9. Indemnification
You agree to indemnify and hold harmless Novatech Systems LLC and its members, officers, employees, contractors, and affiliates from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site.
10. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Site is the state or federal courts located in El Paso County, Texas, and you consent to personal jurisdiction in those courts.
11. Changes to These Terms
We may change these Terms from time to time. When we do, we will post the updated Terms on the Site and update the “Last Updated” date. Your continued use of the Site after the change becomes effective constitutes acceptance of the updated Terms.
12. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including breach of these Terms. The provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
